Hello all,

I am seeking some guidance from one of the experts (please) or the sharing of experience from my fellow BR`s.

My BR relates to a sole trader business (a letting agency) and my personal debts as at the time the business ceased trading.

I also had an estate agency ( a limited company) of which I was the only director. That ceased trading at the same time as they operated from the same premises.

That company as I see it is "dormant". I have resigned as director and submitted that to Companies House and, of course, I copied the OR into that.

There are some creditors (not much - maybe £12K or thereabouts) Mainly the bank as an overdraft.

I was told expressly that I could not use my accountant - I assume that was in relation to my BR and not the company? (Not 100% sure here). In any event, I am not in a position to engage an accountant for the limited company as I do not have any spare funds!

I am due to submit an annual return to Companies House.Can I do a dormant company return?

Can anyone guide me please as I do not want to alienate Companies House, or the OR - thanks in anticipation and appreciation, my regards, Richard

Hi all,

Just to say thank you to Melanie and debtinfo for responding to my post about my a dormant Company.

I wrote to Companies House, sent them necessary details, i.e. no trading, no director and I am pleased to say as the company has no officers, it will be struck off and disolved

I assume that will follow a set pattern and take a few months?

Hi Richard

Write to Companies House advise them of the bankruptcy and your subsequent resignation and request the dissolve the now dormant company.

I would suggest phoning companies house, tell them you are bankrupt and so cannot legally act in any capacity on behalf of the company. I think afer a certain amount of time the company just gets struck off, ask companies house what will happen

Thanks for that - I had some concerns about this - I studied law as a postgraduate many many years ago, but did not do my finals and did not cover this area of law anyway. I have read a number of sites and cannot get a firm grasp of what I need to do!!

Clearly, I do not want a fine.

RHB kindly said to another related post I made a few days ago that maybe I should ask HMRC what they want - not sure there either - we did the last VAT return at the ond of the last quarter we traded - they are happy with that.

I cannot use my accountant (costs prevent me from this!)

I simply need some guidance - should I do a stand alone letter to Companise House?

The OR has said, he has no interest in the company (appreciate that) and that he cannot advise me (appreciate that too). I just need some kind soul to say, "do this..."

Any ideas my friend?

Hi housing, you cannot make the return to companies house as you cannot act in the management of the company. That is a seperate legal entity and so will have to remain ruderless for the time being
